These Terms and Conditions ("Terms") govern your use of the Creator Companion PRO software application (the "Software") provided by Dirk Röder ("we," "us," or "our"). By downloading, installing, or using the Software, you agree to be bound by these Terms. If you do not agree, do not use the Software.

1. Merchant of Record (FastSpring)

Our order process is conducted by our online reseller FastSpring.com. FastSpring is the Merchant of Record for all our orders and handles all payment processing, billing inquiries, refunds, and returns regarding your payment and order. When you purchase the Software, you enter into a purchase agreement with FastSpring, subject to FastSpring's Terms of Sale. Your use of the Software itself is governed by this EULA between you and us.

2. License Grant

Upon purchasing a license through FastSpring, we grant you a personal, non-exclusive, non-transferable, and non-sublicensable license to use the Software for your personal or commercial use, subject to these Terms.

All intellectual property rights, titles, and interests in and to the Software, including any updates, modifications, and related documentation, are owned by us. The Software is licensed, not sold, to you.

5. Updates and Support

We may provide updates, bug fixes, or new features for the Software. Where you are a consumer, we will provide the updates required to keep the Software in conformity with the contract — including security updates — for the period you may reasonably expect given the type and purpose of the Software, in accordance with applicable statutory law. Major version upgrades (e.g., from version 1.0 to 2.0) may be offered as a separate paid purchase or upgrade. Technical support is provided on a reasonable-efforts basis.

6. Warranty

If you are a consumer, your statutory warranty rights for digital products under applicable law (in Germany, §§ 327 ff. of the German Civil Code, BGB) apply in full and are neither limited nor excluded by these Terms.

To the extent permitted by applicable law, and in particular where you are not a consumer, the Software is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.

7. Limitation of Liability

Nothing in these Terms limits or excludes our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, for intentional misconduct or gross negligence, or under the German Product Liability Act (Produkthaftungsgesetz) or any other mandatory statutory liability.

For slight negligence, we shall only be liable where a material contractual obligation has been breached — that is, an obligation whose fulfilment is essential to the proper performance of the contract and on whose observance you may regularly rely. In such cases, our liability is limited to the foreseeable damage typical for this type of contract.

Otherwise, to the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits or data, arising out of your use of the Software.

8. Right of Withdrawal and Refunds

Because FastSpring is the Merchant of Record, refunds and any statutory right of withdrawal are administered by FastSpring. If you are a consumer in the EU, you may have a statutory right to withdraw from the purchase within 14 days. For digital content supplied immediately, this right may lapse once supply has begun with your prior express consent and your acknowledgment that you thereby lose the right of withdrawal, as presented during the FastSpring checkout. 9. Governing Law

These Terms are governed by the laws of Germany, without regard to its conflict of law principles. If you are a consumer residing in the European Union, you additionally enjoy the protection afforded by the mandatory provisions of the law of your country of residence.

10. Consumer Dispute Resolution

We are neither obliged nor willing to participate in dispute resolution proceedings before a consumer arbitration board (Verbraucherschlichtungsstelle) within the meaning of the German Consumer Dispute Resolution Act (VSBG).

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
